This isn’t new terrain for legal professionals, risk, ambiguity, and judgment calls are the job. But the context has shifted in ways that matter. AI is now embedded in how work actually gets done, often without a formal rollout or policy. Oversight followed, mostly by default.

It’s no longer just is this tool appropriate? It becomes what is this system allowed to do, and who decided that? Questions about authority, escalation, and accountability start to surface. These aren’t hypothetical concerns. They show up in recognizable ways. A contract management platform that now auto-flags and deprioritizes certain clauses without human review. An HR tool that scores candidates before anyone on the hiring team sees their application. A client-facing chatbot that answers questions about services or eligibility using logic no one on the legal team has reviewed. In each case, the system isn’t just assisting a decision, it’s shaping one. And at some point, someone has to be accountable for how that system was allowed to operate.
That accountability tends to land with legal. Not always formally, but functionally.
These are governance questions, and they’re not new to legal work. What’s new is that they now apply to systems operating at a scale and speed that makes informal answers insufficient. Lawyers have always managed situations where judgment is delegated to outside counsel, to junior staff, to automated processes in contracts or compliance programs. The governance instinct is already there. AI doesn’t require a completely different framework. It requires applying an existing one to a context that moves faster, operates with less transparency, and doesn’t always fail in obvious ways.
That last part is where things tend to go wrong. When AI governance is absent or informal, the risks don’t usually announce themselves. A biased output gets treated as a neutral result. A system exceeds its intended scope gradually, in ways that are hard to trace. A decision gets challenged and no one can explain how it was reached, not because anyone acted in bad faith, but because no one ever defined what the system was authorized to do in the first place. By the time the problem is visible, the exposure is already real.
This is why the quiet misconception about governance being about control is worth pushing back on directly. Governance doesn’t mean constant monitoring or a hand on every output. What lawyers are actually being asked to do is closer to what they’ve always done, clarify expectations, define conditions for appropriate use, and ensure supervision is proportionate to the risk involved.
The question was never really whether AI can be used. It’s whether its role is clear, its limits are understood, and its outcomes can be explained if they’re ever challenged. That’s not a new standard. It’s the same standard applied to something that doesn’t yet have settled rules around it. And that gap, between how fast AI is being adopted and how slowly governance tends to follow, exactly where legal teams are working right now.
How Compliance Became a Daily Practice
Policy was never going to be enough on its own. As AI use has matured inside organizations, compliance has followed it into the day-to-day, away from strategy documents and into real-time decisions made under pressure, often without a shared framework and rarely with perfect information.
That's where inconsistency takes hold. Different teams apply different standards to similar use cases. Approvals vary depending on who was involved and how urgent the request felt. Documentation, when it exists at all, reflects the circumstances of the moment rather than any coherent standard. None of this is bad faith. It's what happens when adoption moves faster than governance.
The risk that builds from this isn't the absence of rules. It's the absence of clarity. When oversight is informal and scattered, accountability becomes difficult to trace and decisions become harder to defend, especially if they're ever challenged.
Legal teams end up at the center of this not because they asked for the role, but because of what they're already equipped to do. They understand regulatory expectations, workplace obligations, and where organizational risk actually lives. When AI touches something sensitive, an employment decision, a client communication, an internal investigation, the questions find their way to legal. That's been true for a while. What's changed is the volume and the stakes.
The harder reality is that many legal teams are now governing AI in practice without clearly defined authority, consistent standards, or reliable documentation to work from. The oversight is real. But it's often reactive, often isolated, and rarely built on a foundation that would hold up to scrutiny if it needed to.
The Question Underneath All of This
AI oversight is already happening. In most organizations it has been for a while. The more pressing question, the one that's becoming harder to avoid is, whether that oversight was ever deliberately designed, or whether it simply accumulated as AI use expanded faster than anyone planned for.
The difference matters in practice. Informal governance isn't the same as no governance, but it carries its own risks: inconsistent standards, decisions that are hard to reconstruct, and accountability that's difficult to locate when something goes wrong.
